We have produced the following step-by-step guide to help you register to become a CIC:

Step-by-Step: How to Register a CIC 

1. Choose your company structure

Most CICs are: 

  • Company Limited by Guarantee (typical for clubs/community groups) 
  • or Company Limited by Shares (if you plan to issue shares)

2. Prepare Your Documents

You'll need: 

  • Form IN01 – Application to register a company 
  • Form CIC36 – Community Interest Statement (explains your community purpose, see below for more information) 
  • Memorandum & Articles of Association (must include an asset lock clause) 

3. Draft your CIC-specific Articles of Association
You can: 

  • Use model CIC articles (provided by the CIC Regulator) 
  • Or adapt your own, ensuring it includes an asset lock and community benefit statement 

CIC Asset Lock Clause:

Include this in your Articles of Association: "The assets and profits of the company shall be used solely for the benefit of the community. Upon dissolution, any remaining assets must be transferred to another asset-locked body, such as another CIC, charity, or community benefit society, as approved by the CIC Regulator."

4. Submit your application 

  • Send Forms IN01, CIC36, and your Articles to Companies House (via post) 
  • Include a £27 registration fee

CIC36: Community Interest Statement – What to Say (Example CIC36 statement)

In the CIC36 form, you must briefly describe: 

  • Your club's purpose (e.g., promoting access to sport and physical activity) 
  • Who benefits (e.g., young people, underrepresented groups, local residents) 
  • How the community benefits (e.g., free or low-cost sessions, inclusive events) 

Example description: 

"Our club provides affordable taekwondo training and fitness opportunities to children and adults in disadvantaged communities. We aim to improve physical health, confidence, and social cohesion through inclusive sport. Surpluses are reinvested to expand community outreach and provide free sessions to those in need."
